1.0 Acceptance of Terms
Welcome to HBJ Global Solutions, LLC, operating as HBJ Global (hereafter referred to as HBJ Global, HBJ Global Solutions, we, us, or our). Our principal place of business is located at 26631 La Sierra Dr, Mission Viejo, CA 92691-6128, United States. By accessing or using our website at hbjglobal.mom (the Site), engaging our computer systems design and related services (collectively, the Services), or otherwise interacting with our digital properties, you (hereafter referred to as you, your, or User) agree to be bound by these Terms of Service (the Terms).
These Terms constitute a legally binding agreement between you and HBJ Global Solutions, LLC. If you do not agree to all of the terms and conditions set forth herein, you must not access or use the Site or the Services. Your continued use of the Site following the posting of any changes to these Terms constitutes acceptance of those changes.
We reserve the right to modify, amend, or replace these Terms at our sole discretion. 2.0 Services Description
HBJ Global Solutions, LLC provides enterprise-grade computer systems design and related services, including but not limited to systems architecture consulting, platform integration, cloud engineering, security and compliance advisory, and data systems engineering. The scope, deliverables, timeline, and fees for any specific engagement shall be set forth in a separate written agreement, statement of work, or service order executed by both parties.
We strive to describe our Services accurately on the Site. However, the information provided on the Site is for general informational purposes only and does not constitute a binding offer. We reserve the right to modify, suspend, or discontinue any aspect of the Services, temporarily or permanently, with or without notice, and we shall not be liable to you or any third party for any such modification, suspension, or discontinuance.
HBJ Global reserves the right to refuse service to anyone for any lawful reason at any time. We may also limit or restrict access to certain features or portions of the Site without prior notice. Any reliance you place on the information presented on the Site is strictly at your own risk.
3.0 Intellectual Property Rights
All content, materials, and functionality available on or through the Site, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, code, design elements, look and feel, and the selection and arrangement thereof (collectively, the HBJ Global Content), is owned by HBJ Global Solutions, LLC, its licensors, or other providers of such material and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
The HBJ Global name, the HBJ Global logo, and all related names, logos, product and service names, designs, and slogans are trademarks of HBJ Global Solutions, LLC or its affiliates. You must not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Site are the trademarks of their respective owners.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and the HBJ Global Content for your personal, non-commercial use only. Except as expressly authorized by these Terms or by separate written agreement, you must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any HBJ Global Content without our express prior written consent.
4.0 User Obligations
By using the Site and our Services, you represent and warrant that you are at least 18 years of age or the age of majority in your jurisdiction, and that you have the legal capacity to enter into a binding agreement. If you are accessing the Site or Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
You agree to use the Site and Services only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Site in any way that violates any applicable federal, state, local, or international law or regulation.
- Engage in any conduct that restricts or inhibits any other user from using or enjoying the Site, or that may harm HBJ Global or users of the Site.
- Transmit or introduce any viruses, malware, Trojan horses, logic bombs, or other material that is malicious or technologically harmful.
- Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site.
- Use any robot, spider, scraper, or other automated means to access the Site for any purpose without our express written permission.
- Impersonate or attempt to impersonate HBJ Global, an HBJ Global employee, another user, or any other person or entity.
- Provide false, inaccurate, or misleading information when submitting inquiries or engaging our Services.
You are responsible for maintaining the confidentiality of any account credentials you may create on the Site and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account.
5.0 Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall HBJ Global Solutions, LLC, its affiliates, officers, directors, employees, agents, contractors, suppliers, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, revenue, data, use, goodwill, or other intangible losses, arising out of or in connection with:
- Your use of or inability to use the Site or Services.
- Any conduct or content of any third party on the Site.
- Any content obtained from the Site.
- Unauthorized access, use, or alteration of your transmissions or content.
- Any errors, mistakes, or inaccuracies in the materials or information on the Site.
- Any interruption or cessation of transmission to or from the Site.
In no event shall the aggregate liability of HBJ Global Solutions, LLC exceed the amount paid by you to HBJ Global, if any, during the twelve months preceding the event giving rise to the claim, or one hundred United States dollars (USD $100.00), whichever is greater. The limitations of liability set forth in this section shall apply regardless of the theory of liability, whether based in contract, tort (including negligence), strict liability, or otherwise, even if HBJ Global has been advised of the possibility of such damages.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or the limitation of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
6.0 Indemnification
You agree to defend, indemnify, and hold harmless HBJ Global Solutions, LLC and its affiliates, officers, directors, employees, agents, contractors, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees and court costs) arising out of or relating to:
- Your violation of these Terms or any applicable law or regulation.
- Your use of the Site or Services, including any data, content, or material transmitted or submitted by you.
- Your infringement of any intellectual property or other right of any third party.
- Your fraudulent or willful misconduct.
- Any claim that your use of the Site or Services caused damage to a third party.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such event, you agree to cooperate fully with us in asserting any available defenses. You shall not settle any claim that imposes any obligation or liability on HBJ Global without our prior written consent.
7.0 Governing Law
These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any choice or conflict of law provision or rule that would cause the application of the laws of any jurisdiction other than the State of California.
The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded from application to these Terms. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Orange County, California, and the parties hereby irrevocably consent to the personal jurisdiction and venue of such courts.
If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect. The failure of HBJ Global to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
8.0 Dispute Resolution
HBJ Global is committed to resolving disputes in a fair and efficient manner. Before initiating any formal legal proceeding, you agree to first contact us at service@hbjglobal.mom and attempt to resolve the dispute informally. Both parties shall engage in good-faith negotiations for a period of at least thirty (30) days from the date of initial notice before pursuing any other remedy.
If the dispute cannot be resolved through informal negotiation, the parties agree to submit the dispute to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules then in effect. The arbitration shall be conducted by a single arbitrator mutually agreed upon by the parties, or if the parties cannot agree within thirty days, appointed by the AAA. The arbitration shall take place in Orange County, California, unless otherwise agreed by the parties in writing.
The arbitrator shall have the authority to award the same damages and relief that a court of competent jurisdiction could award, including injunctive relief and attorneys' fees, and shall issue a reasoned written decision. The arbitration award shall be final and binding, and judgment on the award may be entered in any court having jurisdiction thereof. The parties agree that any arbitration shall be conducted on an individual basis, and not as a class, collective, or representative action.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of its intellectual property rights or confidential information.
9.0 Termination
These Terms shall remain in full force and effect while you use the Site or Services. We may terminate or suspend your access to the Site and Services, in whole or in part, at any time, with or without cause, and with or without prior notice, at our sole discretion. Grounds for termination may include, without limitation:
- Breach of any provision of these Terms or any other agreement with HBJ Global.
- Engagement in conduct that we determine, in our sole discretion, is harmful to our interests, the interests of other users, or any third party.
- Extended periods of account inactivity.
- Requests by law enforcement or other government agencies.
Upon termination, your right to use the Site and Services shall immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnification, and limitations of liability. We shall not be liable to you or any third party for any termination of your access to the Site or Services.
If you wish to terminate your agreement with these Terms, you may do so by discontinuing use of the Site and Services and, if applicable, closing any account you maintain with us. Termination does not relieve you of any obligations accrued prior to the effective date of termination, including any payment obligations for Services rendered.
